Vice President of Legal and Compliance, General Counsel

PURPOSE OF THE POSITION

The US General Counsel reports to the President US; the individual is responsible for overseeing and identifying all legal issues in all US departments and their interrelation, including, marketing, sales, distribution, credit, finance, human resources, compliance as well as corporate governance and business policy. This requires the US General Counsel to work closely with the leadership team, and their departments, to appropriately assess and mitigate legal risk to the organization.

ESSENTIAL JOB FUNCTIONS

• Provides in all aspects of US legal oversight and risk management.
• Provides effective, all-encompassing support in the day-to-day activities of the various departments and business units within the Company.   This will include any management of external counsel, management of contracts around key account management, market access, marketing, sales, promotion, employee relations, possible mergers and acquisitions, and equity market entrance.
• Controls and reduces potential exposure for the Company as well as protect business interests at contractual/legal/regulatory level.
• Provides ongoing contract support and legal opinions in commercial negotiations.
• Provides proactive leadership and ongoing training in order to support business customers and proactively manage risk exposure.
• Reviews and approves promotional and regulatory materials and correspondence, public statements, websites, and press releases.
• Accountable to perform all duties listed in the role profile in accordance with organization principles, and internal/external Company regulations.
• Provides legal advice on EEOC, ADA, OFCCP, and employment-related disputes.

BASIC QUALIFICATIONS

• Minimum requirements Juris Doctor Law Degree from an accredited law program
• Currently in good standings with New Jersey BAR or ability to attain
• 6 to 8 years of experience in corporate and commercial law experience in the Med Tech and/or Pharmaceutical Industry (regulated environment)
• Results-oriented, with a successful track record in contract negotiation and a focus on customer service
• Understanding of ethics and compliance related to US commercial operations in the US Biotech industry. (ie: Sunshine act etc)
• Entrepreneurial thinking and hands-on approach to managing the legal department for the organization.

• Experience in a multinational and non-US corporation is preferred
