Corporate Attorney

POSITION SUMMARY:

Support the Company’s lawyers and legal department, in collaboration with our Sales team and business executives, to facilitate the growth of the business by managing all aspects of contract negotiations and administration. This role reports to the Director – Legal Operations.

As a paralegal, you will become an expert in your specific customer vertical, take ownership of specialized scaling projects and critical initiatives as it relates to each business unit. Throughout your work, you take initiative, operate with resourcefulness, and execute quickly and effectively the processes that drive revenue. Most importantly, you have a true desire to be helpful and go above and beyond to solve challenges. You’ll leverage your excellent communication skills, and exercise tact and diplomacy in helping to manage relationships with teams across the Company.

RESPONSIBILITIES:

• Steer contracts through internal systems and coordinate input from various teams across the Company for expertise, review, and negotiation
• Document drafting and processing, including formatting, clean-up, filing, and executing agreements
• Manage the completion of customer onboarding forms
• Ensure alignment on deals and forecasting expectations across a variety of teams  
• Maintain accurate records, report project metrics, and track contractual terms
• Drive business-specific strategic project work to enable the effective growth and scale of deal execution across the legal team
• Prepare, review, and negotiate contracts and legal documents
• Assist legal team with various operational matters and other projects as requested
• Prepare, review and present to affected parties’ promotional materials or other collateral that may be assigned
• Collaborate cross-functionally with sales, sales ops, customer support, and other departments throughout the organization
• Draft agreements and negotiate contracts of various business transactions, including [data privacy agreements, licensing agreements, strategic partnership agreements, consulting agreements, confidentiality agreements, vendor agreements, reseller agreements, responding to RFPs, and more.
• Assist, in related legal-led processes and policies with updates, developments, and creation of information/educational presentations, as may be directed
• May assist from time to time in working with other operations professionals in legal, including IP.

QUALIFICATIONS:

REQUIRED:

• A minimum of 8 years of experience as a paralegal, preferably in a large global company
• Demonstrated experience supporting professionals across geographies on a variety of commercial legal issues
• Drafting and negotiating commercial agreements
• Bias for action and ability to work independently within a multinational organization
• Excellent judgment and organizational skills, with a consistent track record to prioritize and handle multiple projects and complete tasks accurately, on schedule, and with minimal supervision
• Strong team player and ability to work cross-functionally in a complex organizational structure
• Demonstrated ability to learn business requirements quickly, analyze legal and commercial risks and propose creative, business-oriented solutions
• Ability to successfully negotiate matrixed business goals
• Proficient computer skills
• Flexibility and willingness to take on new tasks in new or unfamiliar areas of the law
• Proficient legal research and analysis skills

PREFERRED:

• Paralegal certificate a plus
